AUTODESK REPLICATION TOOL TECHNOLOGY PREVIEW TERMS & CONDITIONS
Autodesk invites you to test and experience pre-release versions of certain Autodesk products, applications and/or features, including a preview version of the Autodesk Replication Tool (collectively, "Preview"). The Autodesk Replication Tool is designed to allow users to copy files from A360 Team or BIM 360 Team to Autodesk Construction Cloud, including Autodesk Docs, and to download such files locally.
Subject to the additional terms and conditions set forth below (the "Preview Terms"), this Preview is governed by the Autodesk General Terms of Use, which are incorporated by reference herein (collectively, with the Preview Terms, the "Terms"). To the extent of any conflict between the Preview Terms and the Autodesk General Terms of Use, the Preview Terms will control for the subject matter thereof. All terms used herein, but not otherwise defined in the Preview Terms, will have the meanings set forth in the Autodesk General Terms of Use.
The Preview Terms: Your Use of the Preview: Any products, applications and/or features made available to You as part of this Preview are Trial Versions subject to the Autodesk Terms of Use. Notwithstanding Sections 12 of the Autodesk Terms of Use, Autodesk grants You a non-exclusive, personal, limited, revocable, non-assignable, non-sublicensable, royalty-free license, during the Preview Term, to use the respective Trial Version(s) provided to You by Autodesk in connection with the Preview solely for the purposes of (1) evaluating and testing the Trial Versions, and (2) Your internal business needs. You further agree that You are not a competitor of Autodesk and will not use any Trial Versions provided to you by Autodesk in connection with this Preview for competitive analysis purposes.
Confidential Information: All information (including, but not limited to, all products, services, features, concepts, ideas, and or/related imagery, files, videos, slides or other materials) provided to You by Autodesk in connection with this Preview will be considered Autodesk Confidential Information, unless otherwise specified by Autodesk in writing. All Autodesk Confidential Information is subject to the confidential obligations set forth in the Autodesk Terms of Use. For the avoidance of doubt, Feedback shall not be considered Confidential Information and shall not create any confidentiality obligation for or upon Autodesk.
Preview Term: Your subscription and access to this Preview will begin on the date of Your acceptance of these Terms and will continue until September 30, 2024 unless extended by Autodesk (the "Preview Term").
Autodesk reserves the rights, at its sole discretion, to modify, suspend or terminate Your participation in the Preview, these Terms, and the Preview at any time for any reason. You may terminate your participation in the Preview at any time.
By selecting the “SUBMIT” button or other button or mechanism designed to acknowledge agreement, or by installing, downloading, accessing, or otherwise copying or using all or any products, applications, and/or features under the Preview, you acknowledge and agree that (a) you would like to participate in the Preview, (b) you have read, accept, and consent to the Terms and (c) you acknowledge the Autodesk Privacy Statement, and agree to the use, processing and storage of your personal data in accordance with the Autodesk Privacy Statement (including cross-border transfers as described in this policy). If You do not agree, You do not have the right to participate in the Preview or access any of products, applications, and/or features provided hereunder.
